1. Acceptance of Terms

By accessing or using DigiIMS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

DigiIMS is a cloud-based institute management system that provides tools for managing students, staff, courses, fees, attendance, and other educational institute operations.

3. User Accounts

You must provide accurate and complete information when creating an account
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access
One account per institute unless otherwise agreed upon

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Upload malicious code or attempt to breach security
Share your account credentials with unauthorized parties
Use the Service to store or transmit harmful content
Attempt to reverse engineer or copy the Service
Exceed usage limits defined in your subscription plan

5. Subscription and Payment

Subscription fees are based on your selected plan and active student count
Payments are due at the beginning of each billing cycle
Prices may change with 30 days advance notice
Refunds are handled on a case-by-case basis
Non-payment may result in service suspension

6. Data Ownership

You retain ownership of all data you enter into the Service. We do not claim ownership of your institute's data. Upon termination, you may request an export of your data within 30 days.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

8. Intellectual Property

The Service, including its design, features, and code, is the intellectual property of DigiIMS. You are granted a limited, non-exclusive license to use the Service for its intended purpose during your subscription period.

9. Limitation of Liability

To the maximum extent permitted by law, DigiIMS shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

You may cancel your subscription at any time
We may terminate accounts that violate these terms
Upon termination, your access will be revoked
Data export is available for 30 days after termination

11. Governing Law

These Terms shall be governed by the laws of Nepal. Any disputes shall be resolved in the courts of Kathmandu, Nepal.

12. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.
